Gerald V. Niesar, Partner
Mr. Niesar has more than 45 years of experience representing emerging clients, both public and private, in a broad spectrum of industries, including high technology, service, manufacturing, distribution and retail. In practice in San Francisco since 1969, Mr. Niesar’s expertise is in entity structuring, securities law and reorganizations, both statutory and non-bankruptcy. He has handled virtually every type of legal issue a public company may encounter including: Equity and Debt Public Offerings, On-going Reporting, Mergers & Acquisitions, Sales of Assets and Division, Complex Strategic Partner Relationships, Financing transactions, IP Licensing, Acquisitions and Sales, Executive Compensation and Employment Disputes.
Mr. Niesar served as the Co-Chair of the ABA Small Business Committee’s Task Force on Private Placement Broker-Dealer Registration. Mr. Niesar previously served as Chair of a special ABA committee to advise the National Conference of Commissioners on Uniform State Laws on the Revised Uniform Partnership Act, Chair of the Committee on Partnerships and Unincorporated Business Organizations and Chairman of the Partnership Committee of the California State Bar Association.
Mr. Niesar has frequently lectured in the areas of corporate, securities and partnership law, including for the California Continuing Education of the Bar, the University of California Extension, Santa Cruz, the National Business Institute and Lorman Education Services. He has also written and contributed to numerous publications on corporate, partnership and securities law matters, including the California Limited Liability Company Forms and Practice Manual (co-author) first published by Data Trace Publishers, Inc. in 1994 and updated annually; Business Lawyer’s Bankruptcy Guide, a two volume work published by Clark, Boardman, Callaghan in 1992 (lead editor, and principal author of chapters on partnership, corporate, and securities law issues).
Mr. Niesar has been recognized as a California Superlawyer (an outstanding lawyer who has attained a high degree of peer recognition and professional achievement).

Peter Vestal, Partner
Mr. Vestal has almost 25 years of civil litigation experience, including Business and Commercial Disputes, Consumer Fraud, Intellectual Property, Personal Injury and Employment Claims. Mr. Vestal also provides general counsel services to businesses, including entity formation, business transactions, mergers & acquisitions, intellectual property and employment matters.
Mr. Vestal has served as a Judicial arbitrator, Pre-Arbitration Settlement Conference panelist and Early Settlement Program panelist in the Superior Court for the City and County of San Francisco. He has also acted as a Mediator for the Arts and Arbitration Mediation Services program of California Lawyers for the Arts.
Mr. Vestal previously lectured for the California State Bar, California Lawyers for the Arts, Lorman Education Services, the San Francisco Legal Professionals Association and the United States Small Business Administration. Mr. Vestal’s substantial community service has included service on the Boards of Episcopal Charities, Streetside Stories, Inc., SLS Preschool and Lyra Corporation dba Arion Press.
Mr. Vestal recently co-edited the inaugural edition of California Business Litigation published by ALM, in which he also co-authored the chapter on Limited Liability Companies with his partner John Kelley.
Oscar E. Escobar, Partner
Mr. Escobar represents privately held and publicly traded emerging growth and established companies in a wide variety of industries. His principal experience has been in corporate formation and governance, private placement financings, mergers and strategic business relationships. He also has substantial experience in general business matters such as employment and consulting contracts, employee and consultant equity incentives, manufacturing and service agreements and intellectual property matters.
Mr. Escobar is fluent in Spanish.
